1 · Acceptance

Sɛ wopɛ a, wobɛkɔ — if you choose to walk, walk.

By accessing ecoventafrica.com, the VPAY Genesis platform, or any related materials (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

The Service is operated by EcoVent Africa Limited (registration CS274771225), a private limited company organised under the laws of Ghana, with registered office at 40 Nii Nortei Nyanchi Street, Dzorwulu, Accra.

2 · What VPAY Genesis is

Sika di adanseɛ — the gold bears witness.

VPAY Genesis is a Layer 0 verification infrastructure for global gold. Hardware-rooted attestation (the Physics Gate), on-chain settlement on Polygon Mainnet, and an institutional intelligence layer built on a trinity of verifiable covenants: Matter, Mind, and Witness.

The Service publishes three classes of material:

• Public information. All pages of ecoventafrica.com excluding the diligence room.
• Diligence-room material. NDA-gated materials served only to verified counterparties on request.
• On-chain data. Smart contracts deployed on Polygon Mainnet. All contracts are listed on the Transparency dashboard with verified source on Polygonscan.

What VPAY Genesis is not: it is not a bank; not a broker; not a custodian; not an investment adviser; not a securities exchange; not a money transmitter under United States federal law; and not a regulated financial product solicitation in any jurisdiction where such solicitation would require registration that has not been obtained.

3 · Acceptable use

Asɔdwoeɛ na adwumayɛ — peace and the work go together.

You agree not to use the Service in any manner that:

• violates any applicable law or regulation, including but not limited to the laws of Ghana, the EU, the United Kingdom, or the United States;
• infringes the intellectual-property rights of EcoVent Africa Limited or any third party;
• attempts to gain unauthorised access to any portion of the Service or its underlying infrastructure (including but not limited to scraping the diligence room, attempting to bypass NDA gating, or probing smart contracts with the intent of unauthorised drain);
• uses the Service to launder proceeds of crime, finance terrorism, evade sanctions, or otherwise act in contravention of Ghana's Anti-Money Laundering Act 2020 (Act 1044) or equivalent legislation in your jurisdiction;
• misrepresents your identity, affiliation, or counterparty status in any form submission;
• reproduces, mirrors, scrapes, or systematically retrieves any portion of the Service for commercial use without our prior written consent (open-source smart contracts are licensed separately and are exempt — see §6).

4 · SOV token disclaimer

Anibue na nyansa — open eyes, wise mind.

The SOV token (ERC-20, Polygon Mainnet, contract address 0x5833ABF0Ecfe61e85682F3720BA4d636084e0eC0) is the protocol token of VPAY Genesis. Each SOV represents a unit of value attested by a Gold Sovereign Unit (GSU) hardware reading, recorded on-chain.

The authoritative source for every SOV-related claim is the on-chain state of the contract at the address above, plus the verified Polygonscan source. No statement on this Service supersedes the on-chain record.

5 · Diligence room

Asɛm a wɔde kasa — what is said in confidence.

The diligence room contains pre-public materials including hardware bills of materials, vendor stacks, manufacturing strategy, financial projections, and other competitively-sensitive information.

Access is granted only after:

• you submit a diligence request through /diligence identifying yourself, your organisation, your role, and your counterparty type;
• you agree to the mutual non-disclosure agreement served at the same point;
• EcoVent Africa Limited, in its sole discretion, accepts your request.

Once granted, the diligence-room NDA governs use of the materials. Breach of NDA may result in immediate revocation of access plus the remedies set out in that agreement, which include but are not limited to injunctive relief and damages.

6 · Intellectual property

Adanseɛ — bearing witness.

Unless explicitly stated otherwise, all content on the Service — including text, design, photography, the VPAY Genesis name, the EcoVent Africa name, the SOV token mark, the heritage system (Sika Dwa Kofi, NANANOM Council, Mate Masie, the Akan adinkra adaptations), and the Yarn ochre dot system — is the intellectual property of EcoVent Africa Limited or its licensors and is protected under Ghanaian copyright, trademark, and trade-dress law as well as the Berne Convention.

Smart contracts are open source. The Solidity source for the VPAY Sovereign contracts is published at github.com/ecovent-africa/vpay-sovereign and licensed under the terms specified in that repository.

Adinkra and Akan cultural symbols belong to the Akan people and are not proprietary to any single party. Our use of Sika Dwa Kofi, Mate Masie, and adinkra adaptations is a heritage reference, not a claim of ownership. The arrangement, application, and digital adaptation in our brand system is, however, proprietary trade dress.

Aboriginal Australian design elements. The Yarn ochre dot system in our brand is a generic compositional pattern. We explicitly disclaim any use of clan-owned imagery, restricted Dreamtime narratives, or named-artist patterns without permission. See the heritage page for our cultural-respect framing.

7 · Disclaimers and limitation of liability

Wʼakyi ne wʼanim — what is behind you and what is ahead.

The Service is provided "as is" and "as available". EcoVent Africa Limited makes no warranty, express or implied, that the Service will be uninterrupted, error-free, secure, or fit for any particular purpose, except as required by mandatory consumer-protection law that cannot be excluded.

To the maximum extent permitted by applicable law:

• EcoVent Africa Limited will not be liable for indirect, incidental, special, consequential, or exemplary damages arising out of your use of the Service;
• aggregate liability for any claim arising out of these Terms is limited to one hundred US dollars (USD 100), or the amount you have paid to EcoVent Africa Limited in the twelve (12) months preceding the claim, whichever is greater;
• nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded under applicable law.

Smart contract risk is not absorbed by EcoVent Africa Limited. By interacting with on-chain contracts you accept that bugs, exploits, governance failures, and oracle malfunctions may result in total loss of value. The contracts have undergone internal testing and external community code review (including a contributed pull-request review on KommitBridge v1.2); an independent Tier-1 security audit is pending. Until that audit completes, the contracts remain in protocol pre-launch state and should not be relied upon for production value.

8 · Governing law and dispute resolution

Asɛm bi a wonim ne ti — a matter you know the head of.

These Terms and any dispute arising out of or in connection with them, including non-contractual disputes, are governed by the laws of the Republic of Ghana.

The parties will attempt in good faith to resolve any dispute through negotiation within 30 days of written notice. If unresolved, the dispute shall be referred to and finally resolved by arbitration under the rules of the Ghana Arbitration Centre by a sole arbitrator. The seat of arbitration shall be Accra. The language of arbitration shall be English.

Nothing in this clause prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction.

9 · Changes to these terms

Berɛ biara, asɛm di nkae — every season has its own remembrance.

We may revise these Terms from time to time. Material changes will be announced at the top of this page and the new effective date posted. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

Where a change materially restricts the rights you previously had under these Terms, we will provide thirty (30) days' notice via the protocol transparency dashboard before the change takes effect.
